Legal terms for using Pupil Protect's services

Introduction

These Terms and Conditions ("Terms") govern your use of Pupil Protect's safeguarding platform and related services ("Services") provided by Pupil Protect Limited ("Company", "we", "our", or "us"). By accessing or using our Services, you agree to be bound by these Terms.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use our Services.

Definitions

"Platform"
refers to Pupil Protect's AI-powered safeguarding software platform and all related services.
"User" or "You"
refers to any individual or organization that accesses or uses our Services.
"Customer Data"
refers to all data, information, and content uploaded, stored, or processed through our Platform by Users.
"Authorized Users"
refers to individuals authorized by the Customer to access and use the Platform.

Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms constitute a legally binding agreement between you and Pupil Protect Limited.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Use of Services

Permitted Use

You may use our Services for:

  • • Managing safeguarding processes in educational institutions
  • • Recording and tracking safeguarding incidents and concerns
  • • Generating reports and analytics for safeguarding purposes
  • • Collaborating with authorized personnel on safeguarding matters
  • • Ensuring compliance with relevant safeguarding regulations

Prohibited Use

You agree not to:

  • • Use the Services for any unlawful purpose or in violation of applicable laws
  • • Attempt to gain unauthorized access to our systems or other users' data
  • • Reverse engineer, decompile, or disassemble any part of our Services
  • • Upload malicious code, viruses, or harmful content
  • • Share your account credentials with unauthorized individuals
  • • Use the Services to store non-safeguarding related data
  • • Interfere with or disrupt the integrity or performance of our Services

Account Registration and Security

To access our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • • Maintaining the confidentiality of your account credentials
  • • All activities that occur under your account
  • • Notifying us immediately of any unauthorized use of your account
  • • Ensuring all Authorized Users comply with these Terms

We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

Data and Privacy

Customer Data Ownership

You retain all rights, title, and interest in your Customer Data. We do not claim ownership of any Customer Data you upload or store on our Platform.

We process Customer Data solely as a data processor on your behalf and in accordance with your instructions and our Data Processing Agreement.

Data Security

We implement appropriate technical and organizational measures to protect your data, including:

  • • End-to-end encryption of data in transit and at rest
  • • Regular security audits and penetration testing
  • • Access controls and authentication mechanisms
  • • Compliance with ISO 27001 and SOC 2 Type II standards

Data Processing

Our processing of personal data is governed by our Privacy Policy and Data Processing Agreement. We comply with all applicable data protection laws, including UK GDPR and the Data Protection Act 2018.

Payment Terms

Payment terms are specified in your subscription agreement. Generally:

  • • Fees are payable in advance for the subscription period
  • • All fees are non-refundable unless otherwise specified
  • • We may suspend Services for non-payment after appropriate notice
  • • Price changes will be communicated with at least 30 days' notice

All fees are exclusive of applicable taxes, which you are responsible for paying.

Intellectual Property

The Platform and all related intellectual property rights are owned by Pupil Protect Limited. This includes:

  • • Software, algorithms, and AI models
  • • User interfaces and design elements
  • • Documentation and training materials
  • • Trademarks, logos, and brand elements

We grant you a limited, non-exclusive, non-transferable license to use our Services in accordance with these Terms.

Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may:

  • • Perform scheduled maintenance with advance notice
  • • Temporarily suspend Services for emergency maintenance
  • • Update or modify the Platform to improve functionality

We target 99.9% uptime and will provide service level commitments as specified in your subscription agreement.

Limitation of Liability

To the maximum extent permitted by law, Pupil Protect Limited shall not be liable for:

  • • Indirect, incidental, special, or consequential damages
  • • Loss of profits, data, or business opportunities
  • • Damages resulting from third-party actions or services
  • • Any amount exceeding the fees paid in the 12 months preceding the claim

This limitation applies regardless of the theory of liability and even if we have been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless Pupil Protect Limited from any claims, damages, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate these Terms:

  • • With 30 days' written notice for convenience
  • • Immediately for material breach that remains uncured after 14 days' notice
  • • Immediately if the other party becomes insolvent

Upon termination, we will provide you with access to export your Customer Data for 30 days, after which it may be deleted.

Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • • Email notification to your registered address
  • • Prominent notice on our Platform
  • • Updated effective date on this page

Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
